1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Expanding Web Marcin Dancewicz ("SageTube", "we", "us", "our"), a sole proprietorship registered in the Republic of Poland, operating the SageTube platform at sagetube.ai.

Business registration details: NIP: 6161455447, REGON: 369984358, registered in CEIDG (Central Register and Information on Economic Activity). Registered address: ul. Malinowskiego 1, 59-600 Lwówek Śląski, Poland.

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent that you are at least 16 years old.

These Terms are provided in English. Where a Polish translation is made available as required by law, the English version prevails in case of conflict.

2. Service Description

SageTube is a platform that processes YouTube videos, uploaded video files, and PDF documents into searchable, AI-queryable knowledge bases ("Experts"). Key features include:

• YouTube channel and video import
• Video and audio transcription via third-party APIs
• PDF document text extraction and indexing
• AI-powered chat and question-answering (Retrieval-Augmented Generation)
• Interactive timestamped transcripts
• Chrome browser extension for adding YouTube videos
• Mobile application (Android) with push notifications
• Shared Experts — publicly accessible AI knowledge bases that Expert owners can share with anyone via a link
• Creator monetization — Expert owners can charge visitors per-query for access to their Shared Experts
• Live Knowledge Pulse — automated monitoring of YouTube channels with digest notifications via email, in-app, and mobile push
• Limited guest trial — unregistered visitors may access a restricted preview of the Service without creating an account

AI-generated outputs, including chat responses, summaries, and search results, are provided for informational purposes only. They may be inaccurate, incomplete, or misleading and should not be relied upon as professional, legal, medical, financial, or other expert advice.

3. Account Registration & Security

When creating an account, you must provide accurate, complete, and up-to-date information.

You are responsible for maintaining the confidentiality of your account credentials and API tokens.

You are responsible for all activity that occurs under your account.

You must notify SageTube immediately of any unauthorized access to your account.

You may only create one account per person.

SageTube may suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

SageTube offers four subscription tiers:

• Starter (Free): $0/month, one-time $5.00 non-renewable starting balance, up to 3 YouTube channels, 1 Expert
• Builder: $9/month, $9/month wallet allowance, up to 5 YouTube channels, 2 Experts, top-ups available
• Creator: $29/month, $29/month wallet allowance, up to 20 YouTube channels, 5 Experts, Knowledge Pulse, priority processing, access to advanced AI models
• Enterprise: $99/month, $99/month wallet allowance, unlimited YouTube channels and Experts, 20% discount on pay-as-you-go rates, dedicated support

The wallet system operates as follows: monthly allowance resets each billing cycle. Wallet balance from top-ups never expires.

Pay-as-you-go rates (charged against wallet balance):

• YouTube-captioned videos: $0.01 per minute
• Transcription (videos without captions): $0.05 per minute
• PDF text extraction: $0.05 per page
• Chat query (standard models): $0.02 per query
• Chat query (advanced models): $0.10 per query
• Audio extraction from video: $0.05

Payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service.

SageTube reserves the right to change pricing with at least 30 days' notice. Existing subscriptions are honored at the current rate until the next renewal.

Detailed feature limits and usage quotas (such as upload size limits and daily summaries) are displayed in your account dashboard. SageTube reserves the right to update these limits with 30 days' notice.

All purchases, including subscription fees and wallet top-ups, are final and non-refundable.

If you are a consumer in the European Union, you have a 14-day right of withdrawal from the date of purchase under the EU Consumer Rights Directive (2011/83/EU). By subscribing and beginning to use the Service immediately, you expressly consent to the performance of the Service beginning before the withdrawal period expires. You acknowledge that by doing so, you lose your right of withdrawal for any services already rendered. This does not affect your mandatory consumer rights under applicable EU or national law.

If you cancel a paid subscription and revert to the Starter plan, any remaining wallet balance from previous top-ups remains available for use. However, you may not add new top-up funds while on the Starter plan.

Creator Monetization

Eligible users on Creator or Enterprise plans may enable paid query access on their Shared Experts ("Creator Monetization"). By enabling Creator Monetization, you agree to the following additional terms:

• Revenue is split 70% to the creator and 30% to SageTube. SageTube reserves the right to modify this revenue share with at least 30 days' notice.
• Payments are processed via Stripe Connect. You must complete Stripe's onboarding process, including identity verification, and comply with Stripe's Connected Account Agreement.
• Visitors purchase query packs (predefined bundles of queries) through Stripe Checkout. Query pack sizes and prices are set by SageTube and may be adjusted with notice.
• You are solely responsible for the content in your Expert and for ensuring that you have all necessary rights and permissions to monetize it. SageTube does not verify the legality, accuracy, or quality of monetized Expert content.
• You are responsible for your own tax obligations arising from creator earnings, including income reporting and VAT/sales tax compliance in your jurisdiction. SageTube does not withhold taxes on your behalf.
• SageTube acts as a marketplace facilitator and is not a party to the transaction between the creator and the visitor. Disputes between creators and visitors regarding content quality, accuracy, or value are the responsibility of the creator.
• SageTube may suspend or disable monetization on any Expert at its discretion, including for violations of these Terms, copyright claims, or content quality concerns.
• Earnings are paid out according to Stripe Connect's payout schedule. SageTube is not responsible for delays or issues with Stripe payouts.

5. Free Tier (Starter) Specific Terms

The $5.00 one-time starting balance is non-renewable. Once depleted, you must upgrade to a paid plan to continue using paid features.

Your data is kept indefinitely on all plans, including the Starter plan. SageTube reserves the right to modify retention policies with reasonable notice.

No wallet top-ups are available on the Starter plan.

SageTube may modify or discontinue the free tier at any time with reasonable notice.

Guest Trial Access

SageTube may offer limited, temporary access to certain features without requiring account registration ("Guest Trial"). By using the Guest Trial, you agree to these Terms in full.

Guest Trial access is provided at SageTube's sole discretion and may be modified, limited, or discontinued at any time without notice.

Data generated during a Guest Trial session (including queries and AI responses) is ephemeral and may be deleted at any time without notice. SageTube makes no commitment to preserve Guest Trial data.

Guest Trial functionality is limited and does not include all features available to registered users. To access the full Service, you must create an account.

6. User Content & Intellectual Property

You retain all ownership rights to content you upload or import to the Service, including PDF documents, video files, and YouTube channel data.

By using the Service, you grant SageTube a limited, non-exclusive, worldwide license to process, store, index, and generate vector embeddings from your content, solely for the purpose of providing the Service to you. This license terminates when you delete the content or your account.

AI-generated outputs (such as chat responses and summaries) are provided to you for your use. SageTube claims no ownership of these outputs and makes no guarantee of their accuracy, completeness, or originality.

The SageTube platform, including its software, algorithms, user interface, branding, and documentation, is the intellectual property of Expanding Web Marcin Dancewicz and is protected by applicable copyright and intellectual property laws.

You may not reverse-engineer, decompile, disassemble, or attempt to extract the source code or proprietary technology of the Service.

7. Acceptable Use Policy

You agree not to use the Service to:

• Upload, import, or process content for which you do not have the necessary rights or permissions
• Engage in any illegal activity or process illegal content
• Circumvent, disable, or interfere with rate limits, security measures, or access controls
• Access the Service through automated means (scraping, crawling, bots) outside the provided API and Chrome extension
• Generate, distribute, or store spam, malware, or deliberately misleading content
• Share your account credentials or API tokens with unauthorized third parties
• Interfere with or disrupt the Service's infrastructure, servers, or networks
• Use the Service to develop a competing product or service
• Engage in usage patterns that degrade the Service for other users, such as automated bulk operations that consume excessive resources

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

Copyright Takedown

If you believe that content on the Service infringes your copyright or other intellectual property rights, you may submit a takedown notice to ... . Your notice must include:

• Identification of the copyrighted work you believe is being infringed
• The URL or location of the allegedly infringing material within the Service
• Your contact information (name, address, email, phone number)
• A statement of good faith that the use is not authorized by the rights holder

SageTube will act expeditiously on valid takedown notices by removing or disabling access to the infringing content. The affected user will be notified and may submit a counter-notice. This procedure complies with the EU Digital Services Act (Articles 16-17) and the U.S. Digital Millennium Copyright Act (DMCA).

8. Third-Party Services

The Service relies on and integrates with third-party services. By using the Service, you acknowledge and agree that:

• YouTube content is imported via the YouTube Data API and is subject to the YouTube Terms of Service and the Google Privacy Policy
• Google login (One-Tap) is subject to Google's terms of service
• Payment processing is handled by Stripe and is subject to Stripe's terms
• Content may be processed by third-party AI providers, including OpenAI, Google Gemini, and AssemblyAI, whose terms of service and data handling policies apply

SageTube is not responsible for the availability, accuracy, or data practices of third-party services beyond what SageTube directly controls.

9. Chrome Extension & Mobile Application

Chrome Extension

The SageTube Chrome extension is an optional companion to the web platform.

The extension requires authentication with your SageTube account.

The extension stores your authentication token locally in your browser.

The extension only interacts with youtube.com and sagetube.ai domains.

The extension is subject to the Chrome Web Store Developer Program Policies.

SageTube may release updates to the Chrome extension. Continued use of the extension after an update constitutes acceptance of any changes.

Mobile Application

The SageTube mobile application ("App") is an optional companion to the web platform, available for Android devices.

The App requires authentication via email/password or Google Sign-In. Authentication tokens are stored locally on your device.

The App may send push notifications to your device via Firebase Cloud Messaging (FCM). You can disable push notifications through your device settings at any time. Device tokens are stored to deliver notifications and are automatically pruned when they become invalid.

Use of the App is also subject to the terms and policies of the applicable app distribution platform (e.g., Google Play Store).

The App may request device permissions such as network access and notification permissions. These permissions are used solely for the functionality described in the Service.

SageTube may release updates to the App. Some updates may be required for continued use. Continued use of the App after an update constitutes acceptance of any changes.

Shared Experts

Expert owners may make their Experts publicly accessible via a shareable link ("Shared Experts"). By sharing an Expert, you acknowledge that:

• Any person with the link can interact with the Shared Expert and view AI-generated responses derived from the Expert's indexed content.
• You are responsible for ensuring that the content indexed in your Expert is appropriate for public access and does not violate any third-party rights, including copyright.
• SageTube does not review or moderate the content of Shared Experts. Users who encounter objectionable or infringing content may report it to ... .

Visitors interacting with Shared Experts (whether registered or unregistered) are bound by these Terms. By submitting a query to a Shared Expert, you agree to these Terms.

SageTube may disable or restrict access to any Shared Expert at its discretion, including for copyright claims, abuse reports, or violations of these Terms.

Live Knowledge Pulse

Live Knowledge Pulse is an automated monitoring feature that checks subscribed YouTube channels for new content and processes it into your Experts.

Processing frequency and availability depend on your subscription tier. SageTube does not guarantee specific sync intervals or immediate detection of new content.

Email digest notifications are sent to Expert owners and, where enabled, to public subscribers who have opted in. Public subscribers may unsubscribe at any time via the link in each notification.

Costs for automated processing (transcription, embeddings) are charged against your wallet balance. If your balance is insufficient, automated syncs will be skipped until funds are available.

10. Data Protection & Privacy

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

SageTube acts as a data controller under the GDPR.

Data is stored and processed in the EU (Google Cloud Platform, europe-west1 region).

Some user content is processed by third-party AI providers. Where this involves transfers outside the EEA, appropriate safeguards (Standard Contractual Clauses, EU-U.S. Data Privacy Framework) are in place.

You have the following GDPR rights: access, rectification, erasure, restriction of processing, data portability, objection, and withdrawal of consent.

Personal data export is available through the platform and expires after 5 days.

Account deletion triggers cascading deletion of all associated data (channels, videos, transcripts, PDFs, Experts, chat history, embeddings).

Analytics are collected via PostHog (EU instance). See our Privacy Policy for details.

For Enterprise customers who process personal data through the Service, SageTube will enter into a Data Processing Agreement (DPA) upon request, in compliance with GDPR Article 28.

11. Disclaimers & Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated content, including chat responses, summaries, and search results, may contain errors, inaccuracies, or omissions. SageTube does not guarantee the accuracy, completeness, or reliability of any AI-generated output. Such outputs are not a substitute for professional advice.

SageTube does not guarantee uninterrupted or error-free operation of the Service, preservation of your data beyond the retention periods specified in these Terms, or any specific level of uptime or availability.

Data Backup & Preservation

While SageTube implements reasonable measures to protect your data, you are solely responsible for maintaining independent backups of any content you upload or create through the Service. SageTube is not liable for any loss, corruption, or unavailability of your data, including but not limited to transcriptions, chat histories, Expert configurations, vector embeddings, or uploaded documents, whether caused by system failures, security incidents, service changes, account termination, or any other reason.

You are strongly encouraged to regularly export your data using the platform's export features and to maintain copies of all original content (videos, PDFs, documents) outside the Service.

Shared Expert Content

Responses generated by Shared Experts are derived from content indexed by the Expert owner. SageTube does not verify, endorse, or guarantee the accuracy, quality, legality, or completeness of any Shared Expert content or its AI-generated responses. You interact with Shared Experts entirely at your own risk.

Beta & Experimental Features

SageTube may offer features designated as "beta", "preview", "experimental", or similar labels. Such features are provided on an "as is" basis without any warranties. Beta features may be incomplete, contain bugs, or be discontinued at any time without notice. SageTube shall have no liability for any harm, data loss, or other damages arising from the use of beta or experimental features. Your use of such features is entirely at your own risk, and you should not rely on them for critical or production purposes.

Force Majeure

SageTube shall not be liable for any failure or delay in the performance of the Service caused by events beyond its reasonable control, including but not limited to natural disasters, cloud infrastructure outages, government actions, pandemics, or cyberattacks.

Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of Expanding Web Marcin Dancewicz for any claims arising from or related to the Service shall not exceed the greater of: (a) the total amounts paid by you to SageTube in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100).

In no event shall SageTube be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action or theory of liability.

These limitations apply to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable EU or Polish law, including mandatory consumer protections.

12. Indemnification

You agree to indemnify, defend, and hold harmless Expanding Web Marcin Dancewicz, its contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your content, including any claims of copyright infringement related to YouTube content or uploaded documents you have imported or processed through the Service
• Your use or misuse of AI-generated outputs
• If you are a creator using Creator Monetization: any claims arising from the content you monetize, including copyright infringement, intellectual property disputes, or complaints from visitors regarding the accuracy or quality of your Expert's responses

This indemnification obligation does not apply to the extent that a claim arises from SageTube's own negligence or wilful misconduct.

13. Termination

You may cancel your subscription and delete your account at any time through your account settings.

SageTube may suspend or terminate your account for violation of these Terms, abusive conduct, or non-payment, with notice where practicable.

Effects of Termination

• Subscription cancellation takes effect at the end of the current billing period. No pro-rata refunds.
• Any remaining wallet balance is forfeited upon account deletion.
• User content is deleted within 30 days of account closure.
• SageTube may retain anonymized and aggregated data for analytical purposes.

The following sections survive termination: User Content & Intellectual Property (Section 6), Acceptable Use Policy (Section 7, for pending violations), Data Protection & Privacy (Section 10), Disclaimers & Limitation of Liability (Section 11), Indemnification (Section 12), Governing Law & Dispute Resolution (Section 15), and General Provisions (Section 16). Any outstanding payment obligations also survive termination.

14. Modifications to Terms & Service

SageTube reserves the right to update these Terms at any time.

For material changes, we will provide at least 30 days' advance notice via email and/or a prominent notice within the Service.

Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. If you disagree with any changes, you may terminate your account before the changes take effect.

SageTube may also modify, suspend, or discontinue features of the Service with reasonable notice.

Changes to pricing will be communicated with at least 30 days' notice. Existing subscriptions will be honored at the current rate until the next renewal cycle.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts competent for Lwówek Śląski, Poland.

If you are a consumer residing in the European Union, you retain the right to bring proceedings in the courts of your country of residence in accordance with EU Regulation 1215/2012.

The European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver: The failure of SageTube to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Expanding Web Marcin Dancewicz regarding the Service and supersede all prior agreements.

Assignment: SageTube may assign or transfer its rights and obligations under these Terms (for example, in connection with a merger, acquisition, or sale of assets) without your consent. You may not assign your rights or obligations under these Terms.
